These GeneralTerms and Conditions shall govern all work by and between the parties since thedate of first-work performed by MT. MetaTechnicalmay issue Statements of Work (SOW) to Client for agreed-upon work or clientquotes by email or other written proposal. MT will provide to Client onlythose Services and Materials described as its obligation in each SOW(collectively, the “<spanstyle='mso-bidi-font-style:italic'>Deliverables”).<spanstyle='mso-spacerun:yes'> The Deliverables specifically described ineach SOW are exclusive, and no other services, materials or obligations shallbe impliedmso-fareast-font-family:"Times New Roman";color:white;mso-themecolor:background1'><spanclass=msoChangeProp style='mso-prop-change:admin 20171025T0909'>.<o:p></o:p>normal;mso-prop-change:admin 20171025T0909'>mso-fareast-font-family:"Times New Roman";color:white;mso-themecolor:background1'><spanclass=msoChangeProp style='mso-prop-change:admin 20171025T0909'>2.2<spanstyle='mso-spacerun:yes'> The conditions, rights, and obligationsmentioned in the Contract are the sole terms and conditions applicable to anyservice provided by or on behalf of MetaTechnical, including the servicesprovided jointly with any third party designated by MetaTechnical. <o:p></o:p>normal;mso-prop-change:admin 20171025T0909'>mso-fareast-font-family:"Times New Roman";color:white;mso-themecolor:background1'><spanclass=msoChangeProp style='mso-prop-change:admin 20171025T0909'>2.3<spanstyle='mso-spacerun:yes'> Acceptance of a Proposal, Client Quote, orSOW by the Client, authorization given to MetaTechnical to begin to perform aService, or payment of an invoice in part or in full, constitutes Client'sacceptance of this Agreement and the terms outlined in the Proposal, ClientQuote, and/or SOW.<o:p></o:p>normal;mso-outline-level:2;mso-prop-change:admin 20171025T0909'><spanstyle='font-family:"Times New Roman",serif;mso-fareast-font-family:"Times New Roman";color:white;mso-themecolor:background1'>style='mso-prop-change:admin 20171025T0909'>Article 3 – MetaTechnical’sObligations.<o:p></o:p>normal;mso-prop-change:admin 20171025T0909'>mso-fareast-font-family:"Times New Roman";color:white;mso-themecolor:background1'><spanclass=msoChangeProp style='mso-prop-change:admin 20171025T0909'>3.1<spanstyle='mso-spacerun:yes'> MetaTechnical shall perform all IT services(the “Services”) in a commercially reasonable manner.<o:p></o:p>normal;mso-prop-change:admin 20171025T0909'>mso-fareast-font-family:"Times New Roman";color:white;mso-themecolor:background1'><spanclass=msoChangeProp style='mso-prop-change:admin 20171025T0909'>3.2<spanstyle='mso-spacerun:yes'> MetaTechnical is mindful of situations thatmay give rise to a conflict of interest. Consequently, MetaTechnical may, at its sole discretion, withdraw fromany Services if it becomes apparent that such Services would be in directconflict with the interests of a previous or current client/customer ofMetaTechnical, unless all the parties have given their consent.<spanstyle='mso-spacerun:yes'> <o:p></o:p>admin 20171025T0909'>mso-fareast-font-family:"Times New Roman";color:white;mso-themecolor:background1'><spanclass=msoChangeProp style='mso-prop-change:admin 20171025T0909'>Article 4 –Work Product/Intellectual Property Rights.<o:p></o:p>mso-outline-level:2 !msorm;mso-style-name:"Heading 2" !msorm;text-align:justify;mso-prop-change:admin 20171025T0909'>mso-bidi-font-weight:bold !msorm'>color:white;mso-themecolor:background1'>style='mso-prop-change:admin 20171025T0909'>Each party shall own allintellectual property rights in and to any and all materials generated orproduced by such party prior to the Client’s first engagement with the Company(“Pre-Existing Materials”). Client and the Company acknowledge and agree that all softwareand other materials developed, generated or produced by the Company or Companypersonnel in connection with the performance of Services hereunder, includingbut not limited to all Work Product, defined infra, shall be exclusively the property of Companyand shall in no event be considered “work-for-hire”.<spanstyle='mso-spacerun:yes'> Work Product shall mean all inventions,ideas, concepts, techniques, know-how, data, drawings, schematics, processes,methods, techniques, designs, prototypes, models, writings, frameworks, algorithms,formulae, architectures, configurations, software, deliverables, tools,utilities, objects, analyses, programs, program listings, specifications,reports, research, graphics, logos, other technical elements, all source code,object code and related technical notes and documentation, all memoranda,notes, records, drawings, manuals, programs, flow diagrams, and other documentsor materials created or developed by MetaTechnical and/or its Representatives(including any contributions by the Client) during performance under theAgreement and all intellectual property (patents, patent applications,trademarks, copyrights, copyrightable materials, trade secrets and any othersimilar intellectual property or proprietary rights related to or embodied inthe deliverables and all modifications, improvements and changes thereto andderivatives thereto) therein. To theextent the Client contributes any information, ideas, or any other works to anyWork Product, Client assigns all intellectual property rights to MetaTechnical.<spanstyle='mso-spacerun:yes'> MetaTechnical is and shall be the sole authorof such Work Product and the sole owner of all rights therein. Client hereby irrevocably assigns, and agrees to cause its employees and/or contractors toassign, to the Company all of their respective rights, titles and interestsworldwide in and to any such work, including but not limited to, the right toregister the copyrights therein, to modify such Work Product or otherwise makederivative works thereof, to reproduce such Work Product, to re-sell WorkProduct, to distribute copies or reproductions of such Work Product, topublicly display such Work Product, or in any way use the Work Product, in eachcase in any form now known or hereafter invented. Such assignments shall include all causes ofaction for copyright infringement of any such Work Product, including, withoutlimitation, the right to institute, process, defend and settle any suit orother legal or administrative proceeding to enjoin infringement ormisappropriation of such Work Product, together with the sole right to anyresulting recovery of damages, royalties, profits, legal fees and costs. >Any exceptions for work that should be deemed“work made for hire” and property of the Client shall be noted in a separatewritten agreement signed by MetaTechnical and Client.<spanstyle='mso-spacerun:yes'> "Times New Roman" !msorm;font-weight:normal !msorm;mso-bidi-font-weight:bold !msorm'><bstyle='mso-bidi-font-weight:normal'>color:white;mso-themecolor:background1'>style='mso-prop-change:admin 20171025T0909'><o:p></o:p>normal;mso-prop-change:admin 20171025T0909'>color:white;mso-themecolor:background1'>style='mso-prop-change:admin 20171025T0909'>In the event that any of Client’sPre-Existing Materials are embedded, linked, bundled, incorporated, orotherwise made an essential or necessary part of any Work Product, Client shallidentify such Pre-Existing Materials to MetaTechnical in writing and, whetheror not Client identifies such Pre-Existing Materials as required, the customerhereby grants to the Company a non-exclusive, transferable, royalty-free,perpetual and irrevocable license (with the right to sublicense) to use, copy,display, perform, sell, and/or modify such Pre-Existing Materials as part of orin connection with the Work Product, including the right to carry outmodifications, enhancements and maintenance of the Pre-Existing Materials.<o:p></o:p>normal;mso-prop-change:admin 20171025T0909'>color:white;mso-themecolor:background1'>style='mso-prop-change:admin 20171025T0909'>During the term of this Agreementor any applicable SOW, Client is granted a non-exclusive, revocable license touse (solely for its own use and not for re-sale, licensing, sublicensing,assignment, or the like) any deliverables created or delivered by MT.<spanstyle='mso-spacerun:yes'> Client recognizes that a breach of itsobligations with respect to the Work Product will give rise to irreparableinjury, inadequately compensable in damages, and that, accordingly,MetaTechnical may seek and obtain injunctive relief against the breach of theobligations with respect to the Work Product, in addition to any otheravailable remedies pursuant to this Agreement or at law.<o:p></o:p>normal;mso-prop-change:admin 20171025T0909'>normal'>mso-themecolor:background1'>admin 20171025T0909'>Article 5"Times New Roman",serif;mso-fareast-font-family:"Times New Roman";color:white;mso-themecolor:background1'>admin 20171025T0909'> - Term.<o:p></o:p>normal;mso-prop-change:admin 20171025T0909'>mso-fareast-font-family:"Times New Roman";color:white;mso-themecolor:background1'><spanclass=msoChangeProp style='mso-prop-change:admin 20171025T0909'>5.1<spanstyle='mso-spacerun:yes'> MetaTechnical shall provide the servicesagreed upon with Client. However, unless otherwise specified in the applicableSOW, Client may at any time put an end to MetaTechnical’s services by servingit seven (7) days of written notice of termination. Such cancellation is at theClient’s risk and all fees shall become due and payable immediately for anyServices commenced, whether completed or not. <o:p></o:p>normal;mso-prop-change:admin 20171025T0909'>mso-fareast-font-family:"Times New Roman";color:white;mso-themecolor:background1'><spanclass=msoChangeProp style='mso-prop-change:admin 20171025T0909'>5.2<spanstyle='mso-spacerun:yes'> MetaTechnical may, at its sole discretion,terminate its services with seven (7) days of written notice and Client shallbe responsible immediately for any and all fees for any Services commenced andactually performed to that date.<o:p></o:p>normal;mso-outline-level:2;mso-prop-change:admin 20171025T0909'><spanstyle='font-family:"Times New Roman",serif;mso-fareast-font-family:"Times New Roman";color:white;mso-themecolor:background1'>style='mso-prop-change:admin 20171025T0909'>Article 6 – Expenses, Charges, andFees.<o:p></o:p>normal;mso-prop-change:admin 20171025T0909'>mso-fareast-font-family:"Times New Roman";color:white;mso-themecolor:background1'><spanclass=msoChangeProp style='mso-prop-change:admin 20171025T0909'>6.1<spanstyle='mso-spacerun:yes'> All amounts charged are due and payablewithin thirty (30) days. Failure to paywithin thirty (30) days of the date of invoice shall result in:<spanstyle='mso-spacerun:yes'> (a) the removal of all discounts appliedand/or promised; and (b) interest shall be charged at the rate of 1.5% permonth (19.56% yearly) for each month payment is outstanding.<spanstyle='mso-spacerun:yes'> <o:p></o:p>normal;mso-prop-change:admin 20171025T0909'>mso-fareast-font-family:"Times New Roman";color:white;mso-themecolor:background1'><spanclass=msoChangeProp style='mso-prop-change:admin 20171025T0909'>6.2<spanstyle='mso-spacerun:yes'> In the event that the Company pursues theClient for collection of amounts outstanding for more than thirty (30) days,Client shall be responsible for the Company’s <spanstyle='font-family:"Times New Roman",serif;color:white;mso-themecolor:background1'><spanclass=msoChangeProp style='mso-prop-change:admin 20171025T0909'>costs and expenses,including, but not limited to, reasonable attorney’s fees, court costs, latefees, and interest. Such fees shallapply whether or not an action has been instituted<spanstyle='font-family:"Times New Roman",serif;mso-fareast-font-family:"Times New Roman";color:white;mso-themecolor:background1'>style='mso-prop-change:admin 20171025T0909'>. Company shall also be entitled to costs and expenses<spanstyle='font-family:"Times New Roman",serif;color:white;mso-themecolor:background1'><spanclass=msoChangeProp style='mso-prop-change:admin 20171025T0909'>, including,but not limited to, reasonable attorney’s fees, court costs, late fees, andinterest, in the enforcement of any other material breach of this Agreement oran SOW, including but not limited to the seeking of a temporary or permanentinjunction for breach of the confidentiality, non-solicitation, or intellectualproperty provisions.mso-fareast-font-family:"Times New Roman";color:white;mso-themecolor:background1'><spanclass=msoChangeProp style='mso-prop-change:admin 20171025T0909'><o:p></o:p>normal;mso-prop-change:admin 20171025T0909'>mso-fareast-font-family:"Times New Roman";color:white;mso-themecolor:background1'><spanclass=msoChangeProp style='mso-prop-change:admin 20171025T0909'>6.3<spanstyle='mso-spacerun:yes'> In the event that a separate SOW has not beenentered into with a fee agreement and billing rate, all work performed by theCompany shall be pursuant to Exhibit A attached hereto.<spanstyle='mso-spacerun:yes'> The Company may amend the rates with thirty(30) days’ written or oral notice to the Client.<spanstyle='mso-spacerun:yes'> color:white;mso-themecolor:background1'>style='mso-prop-change:admin 20171025T0909'>All hardware, software, or othergoods sold, licensed, or used, may incur an additional charge(s) to Client atreasonable market rates, and may include administrative/stocking fees<spanstyle='font-family:"Times New Roman",serif;mso-fareast-font-family:"Times New Roman";color:white;mso-themecolor:background1'>style='mso-prop-change:admin 20171025T0909'> <spanstyle='font-family:"Times New Roman",serif;color:white;mso-themecolor:background1'><spanclass=msoChangeProp style='mso-prop-change:admin 20171025T0909'><o:p></o:p>normal;mso-outline-level:2;mso-prop-change:admin 20171025T0909'><spanstyle='font-family:"Times New Roman",serif;mso-fareast-font-family:"Times New Roman";color:white;mso-themecolor:background1'>style='mso-prop-change:admin 20171025T0909'>Article 7 – Liability andGuarantee.<o:p></o:p>normal;mso-prop-change:admin 20171025T0909'>mso-fareast-font-family:"Times New Roman";color:white;mso-themecolor:background1'><spanclass=msoChangeProp style='mso-prop-change:admin 20171025T0909'>7.1<spanstyle='mso-spacerun:yes'> Assumption of Inherent Risk.<spanstyle='mso-spacerun:yes'> The Company shall make commerciallyreasonable efforts to ensure the due, timely, and proper performance of theServices. It is understood by theparties that, particularly in data recovery, certain risks exist beyond thecontrol of the Company and data may be lost or destroyed during the performanceof any Services. Client acknowledges theinherent risks of injury and property damage involved in data storage, data recovery,email hosting, data hosting, and the like, including without limitation, risksdue to destruction or damage to the media or data and inability to recoverdata, or inaccurate or incomplete data recovery, including those that mayresult from the negligence of Company, and assumes any and all known risks ofinjury and property damage that may result. In no event will Company be liablefor loss of data on Client’s media or hardware or MT’s media or hardware unlessdue to the Company’s intentional malfeasance or gross negligence in any actionor omission. <o:p></o:p>normal;mso-prop-change:admin 20171025T0909'>mso-fareast-font-family:"Times New Roman";color:white;mso-themecolor:background1'><spanclass=msoChangeProp style='mso-prop-change:admin 20171025T0909'>7.2<spanstyle='mso-spacerun:yes'> Limitation of Liability.<spanstyle='mso-spacerun:yes'> In the event liability is found on the partof the Company, regardless of legal theory or how such damages arise, pursuantto this Agreement or any SOW, its liability for any damage caused to and provenby the Client (including but not limited to the loss of any data, software,hardware, or intellectual property rights) shall be limited to the lower of thefollowing amounts: (i) six times the total value of the invoices actually paidby the Client for the Services directly linked to the damage caused to theClient, or (ii) six times the then-current monthly fee.<spanstyle='mso-spacerun:yes'> In no event shall the liability be less than$1,000.00 for any such damage. <spanstyle='font-family:"Times New Roman",serif;color:white;mso-themecolor:background1'><spanclass=msoChangeProp style='mso-prop-change:admin 20171025T0909'>The foregoinglimitation of liability reflects deliberate and bargained for allocation ofrisks.mso-fareast-font-family:"Times New Roman";color:white;mso-themecolor:background1'><spanclass=msoChangeProp style='mso-prop-change:admin 20171025T0909'><o:p></o:p>normal;mso-prop-change:admin 20171025T0909'>mso-fareast-font-family:"Times New Roman";color:white;mso-themecolor:background1'><spanclass=msoChangeProp style='mso-prop-change:admin 20171025T0909'>7.3<spanstyle='mso-spacerun:yes'> Limitation on Categories of Damages.<spanstyle='mso-spacerun:yes'> In no event shall Company be liable for anyincidental, special, punitive, or consequential damages or losses of any kindarising under or in connection with this Agreement, regardless of legal theory,including, but not limited to, any such damages or losses resulting frombusiness interruption or lost profits.<o:p></o:p>normal;mso-prop-change:admin 20171025T0909'>mso-fareast-font-family:"Times New Roman";color:white;mso-themecolor:background1'><spanclass=msoChangeProp style='mso-prop-change:admin 20171025T0909'>7.4<spanstyle='mso-spacerun:yes'> Exclusion of Liability.<spanstyle='mso-spacerun:yes'> MetaTechnical cannot be held liable for anydamage caused by or due to the intervention of Client or third parties.<spanstyle='mso-spacerun:yes'> Neither party can be held liable for damagecaused directly or indirectly by force majeure as defined in Article 8 below.<o:p></o:p>normal;mso-prop-change:admin 20171025T0909'>mso-fareast-font-family:"Times New Roman";color:white;mso-themecolor:background1'><spanclass=msoChangeProp style='mso-prop-change:admin 20171025T0909'>7.5<spanstyle='mso-spacerun:yes'> Third-Party Claims.<spanstyle='mso-spacerun:yes'> Neither party shall be jointly or severallyliable for damages alleged against the other by a third party.<spanstyle='mso-spacerun:yes'> Client is solely responsible for any of itsown representations, warranties, and/or covenants made to third parties,including warranties and remedies, regardless of any connection to workperformed by MT. <o:p></o:p>normal;mso-prop-change:admin 20171025T0909'>mso-fareast-font-family:"Times New Roman";color:white;mso-themecolor:background1'><spanclass=msoChangeProp style='mso-prop-change:admin 20171025T0909'>7.6<spanstyle='mso-spacerun:yes'> Re-performance of Services.<spanstyle='mso-spacerun:yes'> color:white;mso-themecolor:background1'>style='mso-prop-change:admin 20171025T0909'>In the event of a breach of anywarranty or representation in an SOW, the Client’s initial remedy, and MT’sinitial liability, shall be the re-performance of the Services related to theSOW to the reasonable satisfaction of Client at no additional cost.<spanstyle='mso-spacerun:yes'> If MT is unable to or does not promptlyre-perform the Services related to the specific SOW as warranted, Client willnot be responsible for payment for any unapproved Services or Deliverables andwill return to MT the delivered products of said non-conforming Services ifpossible. The remedy set forth in this Section shall be Client’s sole remedy inthe event of a breach of such warranty or representation.<o:p></o:p><spanstyle='font-family:"Times New Roman",serif;color:white;mso-themecolor:background1'><spanclass=msoChangeProp style='mso-prop-change:admin 20171025T0909'>7.7<spanstyle='mso-spacerun:yes'> Indemnificationnormal'>. <spanstyle='mso-bidi-font-weight:bold;font-style:normal;mso-bidi-font-style:italic'>Clientagrees, to the fullest extent permitted by law, to defend, indemnify, and holdharmless MT, its officers, directors, employees, attorneys, agents, andsubcontractors against any claims by third parties including all damages,liabilities or costs including reasonable attorneys' fees and defense costs,arising out of or in any way connected with the services performed hereunder orpursuant to any SOW or the performance by any of the parties above named of theservices under this Agreement or any SOW, excepting only those damages,liabilities or costs attributable to the intentional acts of or grossnegligence by MT. <o:p></o:p>justify;line-height:normal;tab-stops:0in 21.95pt .75in 75.95pt 99.0pt 2.5in 3.0in 3.5in 4.0in 4.5in 5.0in 5.5in 6.0in;mso-prop-change:admin 20171025T0909'>color:white;mso-themecolor:background1'>style='mso-prop-change:admin 20171025T0909'>7.8 Time to Bring Suit. The limitations of liability listed in Article 7.3 shall not apply to abreach of this Article 12.
